COMPLIANCE AND DUE DILIGENCE AT SPFO

At SPFO, we understand that integrity, transparency, and regulatory compliance are fundamental pillars in the energy sector especially in the international trade of hydrocarbons. That’s why we’ve developed a robust, dynamic Compliance system aligned with international best practices, covering every regulatory, ethical, and operational aspect of our activities.

DUE DILIGENCE SYSTEM: MORE THAN A LEGAL
REQUIREMENT

Our Due Diligence System goes beyond the requirements of European regulation. It integrates the three key components of risk management:

  • Access to relevant and verified information.
  • Risk assessment based on objective criteria.
  • Effective risk mitigation through internal controls.

All of this is backed by structured management systems designed to ensure regulatory compliance in a systematic and ongoing manner.

IMPORTANCE IN THE HYDROCARBON SECTOR

In a highly regulated sector such as hydrocarbons marked by significant financial, commercial, and reputational risks our Compliance approach adds value on multiple levels:

  • Trust and reliability in business relationships.
  • Access to international markets that demand transparency.
  • Mitigation of legal, financial, and reputational risks.
  • Strengthening of corporate governance and decision-making.

KEY BENEFITS FOR OUR PARTNERS AND CLIENTS

Assurance of a system compliant with applicable legal requirements

Strengthened confidence among consumers, partners, public authorities, and
financial institutions

Confianza reforzada ante consumidores, socios, autoridades públicas y entidades financieras

METHODS AND TOOLS WE USE

Our Due Diligence process enables in-depth analysis of both clients and suppliers, creating a secure and professional environment at every stage of negotiation. Key areas of analysis include:

  • Verification of financial capacity through ICPO (Intent to Purchase) and BCL (Bank Comfort Letter),

  • Review of reputation and commercial reports from specialized agencies,

  • Assessment of experience and track record in similar transactions,

  • Verification of mandate agreements and the legitimacy of representations.

We also leverage advanced technological tools such as the ISOTools Platform, which allows us to:

  • Systematically register and manage all Due Diligence documentation,

  • Conduct preventive investigations in the event of suspected bribery or improper commercial practices,

  • Support our Compliance Officer and other relevant departments, streamlining analysis and improving decision-making.

CERTIFICATION AND BEST PRACTICES

Our system is aligned with international standards such as ISO 37001 – Anti-Bribery Management Systems, which requires effective implementation of Due Diligence as a control and prevention tool.

TRANSPARENCY AND CONFIDENTIALITY

Once the process is complete, all parties involved in a transaction are connected directly—without intermediaries to ensure fluidity, efficiency, and security. All operations are conducted under the highest standards of confidentiality and data protection.

At SPFO, Compliance is not a mere obligation it’s a working philosophy. A strategic tool to operate safely, confidently, and sustainably in the global hydrocarbon market.
